Terms for trade offers
These terms apply to every company that views and bids on cars from private sellers through Octane (the trade offers). You accept them with your first offer. The general terms and privacy policy of Octane Automotive B.V., Acaciastraat 81, 4814 HG Breda, the Netherlands, also apply.
1. What the trade offers are
Octane presents cars from private sellers to car dealers. The purchase is concluded between you and the seller. Octane does not sell the car and is not a party to the purchase.
2. The cars
Descriptions and photos come from the seller; we present them to the best of our knowledge, but do not guarantee that they are correct or complete. Viewing, inspecting and checking the car (papers, mileage, damage) is up to you, before the purchase.
3. Making an offer
An offer is non-binding: it stands on the condition that the car is as described. The seller decides whether to accept an offer; there is no right to acceptance. Other companies do not see your offer.
4. The seller’s details
If the seller accepts your offer, you receive the seller’s name, phone number, email address and place of residence. You use them only for the purchase of this car: you do not pass them on, do not use them for marketing and delete them when you no longer need them. From that moment you are the controller of those details under the GDPR.
5. Fee
Viewing and making offers is free. If you buy a car you saw through the trade offers, you owe Octane a fee of 1% of the purchase price, excluding VAT.
This also applies if the purchase is concluded later or outside Octane, within 6 months after you received the seller’s details, and also if another company or person buys the car on your behalf.
6. Reporting and invoicing
If you buy the car, let us know within 7 days at info@octane.nl, with the purchase price. We may ask the seller whether and for how much the car was sold. Once the sale is confirmed, we send an invoice. The payment term is 14 days.
7. Late payment or non-payment
If you do not pay within 14 days, you owe the statutory commercial interest (article 6:119a of the Dutch Civil Code) and extrajudicial collection costs, without further notice of default.
If you buy a car without reporting it within 7 days, or do not pay the fee even after a reminder, you owe, in addition to the fee, a penalty that is payable immediately of three times the fee, with a minimum of € 500 per car. Octane may also end your access to the trade offers.
8. Access
Your account or personal link is for your company; do not share it with others. Octane may end your access at any time, for example in case of misuse. Anything you owe at that point remains due.
9. Liability
Octane is not liable for the car, for the accuracy of the description or for how the purchase between you and the seller is completed. If Octane is liable nonetheless, its liability is limited to the fee you paid Octane for that car.
10. Changes and governing law
Octane may change these terms; we will ask you to accept a new version with your next offer. These terms are governed by Dutch law. Disputes are submitted to the competent court in the district of Zeeland-West-Brabant, the Netherlands.
